SUNNYVALE, CA - February 7, 2005 - AMD (NYSE: AMD) today announced the appointment of Morton L. Topfer, formerly executive vice president of Motorola and vice chairman of Dell Computers, to its board of directors. Topfer, 68, was elected at AMD's most recent board of director's meeting.

"With the addition of Mort Topfer, we continue to add world-class talent to AMD's board of directors," said AMD Chairman, President and CEO, Hector Ruiz. "AMD is a company that appears poised to change the competitive landscape of the technology industry," Mr. Topfer said. "Its leadership team and evolving industry profile continue to attract world-class customers, partners and talent. I am very pleased to be joining the AMD board at such an exciting time and I look forward to contributing to the company's continued success."

About Morton Topfer

Topfer is currently the managing director of Castletop Capital, an Austin-based investment firm he founded that focuses primarily on real estate. The company also provides venture funding for technology, software and business infrastructure companies. It currently has committed capital resources of $100 million.

Topfer joined Dell as vice chairman in 1994. During this time, he shared the office of chief executive officer with Michael S. Dell, chairman and CEO, and Kevin B. Rollins, vice chairman. Together, they presided over one of the fastest growth periods in the company's history.

Prior to his time with Dell, Topfer served as corporate executive vice president of Motorola, Inc. and president of Motorola's Land Mobile Products Sector, where he managed a $3 billion mobile, portable and data systems function. He also served as the senior vice president and general manager of the company's communications sector, where he was instrumental in helping to spin-off the $2 billion paging business. Prior to that he was general manager of product operations.

Topfer began his career as a physicist at the Kollsman institute in 1961, and went on to hold positions at RCA and Kulite Semiconductor before moving to Motorola.

Topfer holds a bachelor's degree in physics from Brooklyn College and in June 2000 was awarded an honorary doctorate in engineering from Polytechnic University in New York.
